ComCom to issue SoI on proposed acquisition of Rotorua rafting operators

The Commission has decided to issue a Statement of Issues relating to the application from Rotorua Rafting Holdings Limited (a yet to be incorporated joint venture company known as Rafting JV Co).

Rotorua Rafting Holdings Limited is seeking to acquire the rafting and sledging assets of Rotorua Rafting, Kaitiaki Adventures and Kaituna Cascades.

The Statement of Issues will be published on the Commission’s case register in due course, and will outline the potential competition issues with the acquisition following the Commission’s initial investigation. The Statement of Issues will invite submissions from Rotorua Rafting, Kaitiaki Adventures and Kaituna Cascades and any other interested parties.

The Statement of Issues is not a final decision and does not mean that the Commission intends to decline or clear the application.

The Commission is currently scheduled to make a decision on the application by 29 January 2026, although it is in discussions with Rafting JV Co to extend this timeframe. If a new decision date is agreed, this will be published on the Commission’s case register.

Background

We will only give clearance to a proposed merger if we are satisfied that the merger is unlikely to have the effect of substantially lessening competition in a market.
